What is the NYS LLC Transparency Act?
The NYS LLC Transparency Act requires certain LLCs operating in New York to disclose beneficial ownership information. After the December 30, 2025 veto, only "Foreign Reporting Companies" (LLCs formed outside the United States) must file.
Are US-Formed LLCs Exempt?
Yes! All LLCs formed in any of the 50 U.S. states are classified as "Domestic Entities" and are exempt from beneficial ownership disclosure requirements under the amended law.
